Buying an existing business gives you revenue, customers and staff from day one — as long as you check properly what you are buying. Here you will find the steps, what to check, how due diligence works and how to judge whether the price is reasonable.
How to buy a business
- Define sector, area and budget — including the working capital you will need after the purchase.
- Browse the anonymous listings and shortlist those that fit your criteria.
- Activate buyer access and sign an NDA to see the name and documents.
- Ask the seller questions, verify the figures and submit an offer.
- Complete due diligence with an accountant and a lawyer before signing.
What to check before buying a business
- That stated revenue and profit match tax returns and bank statements
- Dependence on a few customers, one supplier or the owner personally
- Length and terms of the premises lease
- Operating licences and whether they transfer
- Debts to the tax office, social security, suppliers or banks
- Condition of equipment and stock
Due diligence
Legal and financial due diligence confirms that what the listing shows is true. It covers a financial review (books, cash flows, liabilities), a legal review (corporate documents, contracts, licences, litigation) and an operational review (staff, suppliers, systems). EBITDA and valuation multiples
To judge the price, divide the asking price by annual EBITDA (earnings before interest, taxes, depreciation and amortisation). The result is the multiple: a €300,000 business with €100,000 EBITDA is priced at “3× EBITDA”. Compare it with similar businesses of the same sector and size.
A higher multiple is justified by steady growth, recurring revenue and operations that do not depend on the owner. Check whether EBITDA includes a salary for the owner’s work — if not, the real profit for you is lower.
The NDA and Data Room process
Every listing on Exagora has its own non-disclosure agreement. You e-sign it from the listing page; once complete, you see the name, detailed financials and the documents in the listing’s Data Room, and can contact the seller.
Offers and negotiation
Once you have signed the NDA and reviewed the figures, you submit an offer on the platform. The seller can accept, reject or counter it — up to three counter-offers per side — and the full negotiation history is recorded.

What is the difference between buying a business and buying a company?
Buying a company means buying its shares, and with them its liabilities. Buying a business (an asset deal) means buying equipment, customers, brand etc. without necessarily the legal entity. Each listing shows its deal type; consult an accountant and a lawyer on the tax and legal consequences.
Can I offer less than the asking price?
Yes. After the NDA you can submit an offer and negotiate on the platform, with up to three counter-offers per side.
